Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Index & Thread ("Company," "we," "our," or "us") governing your use of our website indexandthread.com (the "Site") and our Reddit strategy consulting services (the "Services").

By accessing our Site or engaging our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access our Site or use our Services.

Description of Services

Index & Thread provides Reddit strategy consulting services, which may include but are not limited to:

• Reddit community research and subreddit identification
• Content strategy development for Reddit platforms
• Engagement frameworks and playbooks
• Brand voice and messaging guidelines for Reddit
• Team training and coaching on Reddit best practices
• Reddit Ads consulting and management
• Ongoing strategic support and optimization

Specific deliverables and scope of work will be outlined in a separate Statement of Work (SOW) or service agreement between you and Index & Thread.

Client Responsibilities

As a Client, you agree to:

• Provide accurate and complete information about your business, products, and marketing objectives
• Respond to requests for information and feedback in a timely manner
• Designate appropriate team members to participate in training and strategy sessions
• Comply with Reddit's Terms of Service, Content Policy, and community guidelines in all activities
• Not engage in prohibited practices including vote manipulation, spam, or astroturfing
• Pay all fees as outlined in your service agreement
• Maintain confidentiality of proprietary strategies and methodologies shared

Prohibited Activities

Index & Thread does not engage in, and Clients must not request or expect us to engage in, the following prohibited activities:

• Vote Manipulation: Buying, selling, or artificially inflating upvotes or downvotes
• Fake Accounts: Creating or using inauthentic accounts to promote content
• Astroturfing: Disguising paid content as organic user-generated content without disclosure
• Spam: Excessive posting, irrelevant content, or unsolicited promotional material
• Brigading: Coordinating groups to mass-vote or comment on specific content
• Ban Evasion: Creating new accounts to circumvent subreddit or platform bans
• Impersonation: Pretending to be someone else or misrepresenting affiliations

Our strategies focus exclusively on authentic, value-driven engagement that complies with all platform rules.

Payment Terms

Payment terms will be specified in your individual service agreement. General terms include:

• Invoicing: Invoices are issued at the beginning of each service period
• Payment Due: Payment is due within 14 days of invoice date unless otherwise specified
• Accepted Methods: We accept payment via credit card, ACH transfer, and wire transfer
• Late Payments: Late payments may incur interest at 1.5% per month or the maximum rate permitted by law
• Currency: All fees are quoted and payable in US Dollars (USD)

Minimum Commitment Period

Most service engagements require a minimum commitment period of three (3) months. This minimum exists because Reddit marketing success requires sustained, consistent effort. Authentic community participation cannot be rushed. The specific commitment period will be stated in your service agreement.

Intellectual Property

Our Intellectual Property

Index & Thread retains all rights to our proprietary methodologies, frameworks, templates, tools, and processes. While you receive a license to use deliverables created for your engagement, our underlying intellectual property remains our exclusive property.

Your Intellectual Property

You retain all rights to your brand assets, trademarks, content, and materials that you provide to us. You grant us a limited license to use these materials solely for the purpose of providing our Services.

Deliverables

Upon full payment, you receive a non-exclusive, perpetual license to use custom deliverables created specifically for your engagement (such as content calendars, subreddit research reports, and engagement playbooks).

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, financial information, customer data, marketing plans, and any other information designated as confidential. Confidentiality obligations survive the termination of our business relationship.

No Guarantees of Results

While we apply industry best practices and proven methodologies, we cannot and do not guarantee specific results, including but not limited to:

• Specific numbers of upvotes, comments, or engagement metrics
• Viral content performance or "front page" appearances
• Traffic, leads, or conversion metrics
• Search engine rankings or AI mention frequency
• Revenue or sales increases

Reddit is a platform driven by authentic community participation, and outcomes depend on many factors beyond our control, including your product quality, market conditions, and community receptiveness.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDEX & THREAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES.

Our total liability for any claims arising out of or related to these Terms or our Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Index & Thread and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your violation of Reddit's Terms of Service or any applicable laws; (c) content you create or post on Reddit; or (d) your use of our Services.

Termination

Termination for Convenience

Either party may terminate the service engagement upon 30 days' written notice after the minimum commitment period has been fulfilled.

Termination for Cause

Either party may terminate immediately if the other party materially breaches these Terms and fails to cure such breach within 14 days of written notice.

Effect of Termination

Upon termination, you will pay for all Services rendered through the termination date. Provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification survive termination.

Disclaimer of Warranties

OUR SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with arbitration taking place in Delaware.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Site and updating the "Last updated" date. Your continued use of our Site or Services after such modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements or Statements of Work, constitute the entire agreement between you and Index & Thread regarding the subject matter herein and supersede all prior or contemporaneous communications and proposals, whether oral or written.
